Terms of Service

These Terms of Service ("Terms") govern your access to and use of websites, applications, and services offered by Cognitive Circle LLC. By accessing or using our services, you agree to these Terms.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

Cognitive Circle provides software development, AI engineering, licensed products, consulting, and related professional services. Specific deliverables, timelines, and fees are defined in separate statements of work, order forms, or license agreements.

You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate access for violations of these Terms or applicable law.

You agree not to:

• Use our services for unlawful, harmful, or fraudulent purposes.
• Attempt to gain unauthorized access to systems, data, or accounts.
• Reverse engineer, decompile, or circumvent license or security controls except where permitted by law.
• Upload malware, spam, or content that infringes intellectual property or privacy rights.
• Resell or redistribute licensed software except as expressly permitted in your license agreement.

We retain ownership of our pre-existing materials, frameworks, and general know-how. Unless otherwise agreed in writing, custom work product ownership and license grants are defined in your project or product agreement. Our trademarks and branding may not be used without prior written consent.

Fees, payment schedules, and refund policies are specified in applicable contracts. Software licenses are non-transferable unless stated otherwise. Failure to pay may result in suspension of services or license keys.

Our services and software are provided "as is" and "as available" to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement unless expressly stated in a signed agreement.

To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability arising from these Terms or related services shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim, except where prohibited by law.

You agree to indemnify and hold harmless Cognitive Circle LLC and its affiliates from claims arising from your misuse of the services, violation of these Terms, or infringement of third-party rights, except to the extent caused by our gross negligence or willful misconduct.

Either party may terminate ongoing services as provided in the applicable agreement. We may suspend or terminate access immediately for material breach. Provisions that by nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

These Terms are governed by the laws of the State in which Cognitive Circle LLC is registered, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of that jurisdiction unless otherwise required by applicable law.
